1) Acceptance of this Agreement

a) By using the Website, you accept and agree to be bound and comply with this Agreement. If you do not agree to this Agreement, you must not access or use the Website.

2) Amendments to this Agreement

a) Yorkville University may, from time to time and in its sole discretion, make changes to this Agreement by posting a revised Agreement on this Website. By using the Website after any revised Agreement has been posted, you accept to be bound by the revised Agreement.

3) Third Party Services

a) The third-party service offerings (“Third Party Services”) expressed or made available on this Website or on any site linked to this Website are provided for educational or informational purposes only and any opinion, advice, statement, offer other information expressed in any Third Party Services is that of the respective author or distributor and not of Yorkville University. Yorkville University assumes no obligation to update or advise on further developments concerning the Third Party Services.

b) The references to Third Party Services on this Website may contain links to other sites as well as e-mail links. These links are provided solely as a convenience to you. These other sites were independently developed by parties other than Yorkville University and Yorkville University assumes no responsibility for the accuracy or appropriateness of the information contained in such sites. The inclusion of any link to another site does not imply endorsement by Yorkville University. Any mention of another party or its product or service on the Website should not be construed as an endorsement of that party or its product service. 4) Secured Areas of the Website

a) Certain areas and features of the Website are accessible only to users who have been issued a login name and password (collectively, “Credentials”) by Yorkville University. Credentials will remain the property of Yorkville University and may be cancelled or suspended at any time by Yorkville University in its sole discretion without any notice or liability to you or any other person.

b) Yorkville University is not under any obligation to verify the identity or authority of any person using Credentials to access the Website and has the right to rely on the authority of any person using Credentials. You will be held responsible for any action taken under your Credentials, regardless of whether you authorized the action. Notwithstanding the preceding, Yorkville University may in its discretion, at any time, require additional proof of identity from any person seeking to access the Website, including Credential holders, and may deny access to the Website, or parts of it, or refuse to act upon any communication of a person if Yorkville University is not satisfied with such proof.

c) You shall: (i) keep Credentials issued to you confidential, secure and otherwise protect them at all times, which includes not disclosing your Credentials to any person (other than Yorkville University) or permitting any other person to access the Website using your Credentials; (ii) only use the Website under your Credentials in compliance with this Agreement; and (iii) immediately notify Yorkville University if you know or suspect that your Credentials have been lost or stolen or become known to or used by any other person.

5) Uses of the Website

a) You may use the Website only in the manner described in this Agreement and subject to all applicable laws. Your use of the Website for any other purpose or in any other manner is strictly prohibited.

b) Although Yorkville University attempts to provide current and accurate information on the Website, inaccuracies, omissions, or other errors may sometimes occur and Yorkville University cannot guarantee that all content and data provided on the Website will always be accurate, complete, and up to date. Yorkville University reserves the right to correct any error, inaccuracy, or omission at any time without prior notice or liability to users or any other person.

c) Access to and use of this Website is at the user’s own risk. The Website is provided on an “as is” and “as available” basis, without any representations, warranties, or conditions of any kind, whether express or implied, and including without limitation implied representations, warranties or conditions of or relating to accuracy, accessibility, fitness for a particular purpose, merchantability, performance or durability, all of which are disclaimed by Yorkville University to the fullest extent permitted by law.

8) Indemnity

a) You agree to defend, indemnify, and hold harmless Yorkville University from and against all liability, claims, damages, actions, and costs, arising out of or in connection with your use, review, or reproduction of the Website.

9) Limitation of Liability

a) Yorkville University shall not be liable to you and/or any third party for any damages of any kind arising out of or relating to the use of, or reliance upon, the Website including, but not limited to, any lost profits, lost opportunities, special, incidental, indirect, consequential, or punitive damages, regardless of your advice to Yorkville University to the contrary.

10) Termination

a) If you breach any provision of this Agreement, you may no longer use the Website. Yorkville University may, at any time and for any reason and in its sole discretion, change, suspend or terminate, temporarily or permanently, the Website or any part of it, or your permission to use the Website, without any prior notice or liability to you or any other person. If this Agreement or your permission to use the Website is terminated by you or Yorkville University for any reason, then this Agreement will continue to apply and be binding upon you in respect of your prior use of the Website.

11) Governing Law

a) This Agreement shall be governed solely by the laws of the Province of Ontario and applicable federal laws of Canada. Any dispute between Yorkville University and you or any other person arising from, connected with, or relating to the Website, this Agreement or any related matters must be resolved before the Courts of the Province of Ontario sitting in the City of Toronto.
